Incorporation; certificate; contents and filing. The presiding officer and clerk or secretary of the governing body shall, under its direction, and after such election or appointment, prepare a certificate in writing, under their hands and seals, containing: a. The name or title by which the corporation shall be known; b. The names of the trustees and their terms of office; and c. The object for which they are incorporated. This certificate shall be duly acknowledged by the presiding officer or secretary and shall be filed by them in the office of the secretary of state, whereupon such trustees shall be a corporation by the name so chosen.
