§ 7726. Applicability.
(a) General rule.--This chapter shall apply to domestic
corporations incorporated under this chapter.
(b) Existing corporations.--This chapter shall apply to
existing domestic corporations incorporated under or subject to
any prior law of the Commonwealth concerning incorporation and
regulation of corporations, whether cooperative or
noncooperative, by the filing with the department of a
certificate executed under the seal of the corporation, signed
by two authorized officers of the corporation and setting forth:
(1) The name of the corporation.
(2) The statute by or under which it was created or
formed.
(3) A statement that the members or stockholders of the
corporation have elected, by a majority vote of the members
or stockholders present at a meeting called for such purpose
at which a quorum is present, to accept the provisions of
this chapter for the government and regulation of the affairs
of the corporation.
