§ 11.104. ACTION BY SECRETARY OF STATE. The secretary of state shall remove from its active records a domestic filing entity whose period of duration has expired when the secretary of state determines that: (1) the entity has failed to file a certificate of termination in accordance with Section 11.101; and (2) the entity has failed to file an amendment to extend its existence in accordance with Section 11.152. Acts 2003, 78th Leg., ch. 182, § 1, eff. Jan. 1, 2006.
