Art. 6271. [6417-18-19] [4108] MAY AMEND ARTICLES, ETC. Any
railroad corporation may amend or change its articles or act of
incorporation in the manner following:
1. Such amendment or change shall be in writing and signed by
the president and board of directors of the corporation and
attested by the secretary under the seal of the corporation.
2. It shall be submitted to the Attorney General as in the
case of original articles of incorporation and examined and
certified by him in the same manner.
3. It shall then be filed and recorded in the office of the
Secretary of State.
4. In the case of a corporation created by a special act of
the legislature, the said amendment or change, together with the
original charter and such amendments and changes as have been made
by special act of the legislature, shall be filed and recorded in
the office of the Secretary of State.
5. Such amendment or change shall be in force from the date of
the filing of the same in the office of the Secretary of State in
accordance with the provisions of this chapter.
