Each authority shall be governed by a board of directors, who shall be appointed by the authorizing governing body. All powers of the authority, except as herein restricted, shall be exercised by the board or pursuant to its authorization. The board shall consist of seven directors, who shall be appointed for staggered terms as hereinafter provided. The positions on the board shall be numbered from one to seven, inclusive. The initial term of office of the members of the board in positions one, two, three, and seven shall begin immediately upon their respective appointments and shall end at 12:01 o’clock a.m. on the second anniversary date of the filing for record of the certificate of incorporation of the authority. The initial terms of office of the directors in positions numbered four, five, and six shall begin immediately upon their respective appointments and shall end at 12:01 o’clock a.m. on the fourth anniversary date of the filing for record of the certificate of incorporation of the authority. Thereafter, the term of office of each such director shall be four years. Each director shall continue to serve until his or her successor is appointed. If at any time there should be a vacancy on the board, a successor director to serve for the unexpired term applicable to such vacancy shall be appointed by the same appointing authority hereinabove authorized to fill such position. Each appointment of a director, whether for a full four-year term or to complete an unexpired term, shall be made not earlier than 30 days prior to the date on which such director is to take office as such. Each director shall be a duly qualified elector of Marengo County, Alabama. Directors shall be eligible for reappointment. Each director shall be reimbursed for expenses actually incurred by him or her in and about the performance of his or her duties, and if the certificate so provides, be compensated in such additional amount as may be set by the authorizing governing body. Any director of the authority may be impeached and removed from office in the same manner and on the same grounds provided by Section 175 of the Constitution of Alabama of 1901 and the general laws of the state for impeachment and removal of the officers mentioned in Section 175.
