- 4 - A. Petitioner’s Background and Employment History Petitioner is a certified public accountant with an extensive educational background. He holds bachelor’s and master’s degrees in accounting. Petitioner also earned graduate credits toward, but did not complete, a Ph.D. degree in economics. Petitioner began to work as a financial statement auditor for the accounting firm of Lybrand, Ross Brothers, Montgomery3 in 1966. Petitioner became a partner in the firm; he had that status during the period 1988-1991. In August of 1991, the National Corporation for Housing Partnerships (hereinafter sometimes referred to as NHP) offered to petitioner the positions of executive vice president and chief financial officer. In 1991, NHP was engaged in the business of building and developing subsidized housing in the United States. As part of its inducement to petitioner, NHP offered to him the right to participate in its stock option program, pursuant to which petitioner initially could receive up to 3,000 shares of NHP common stock. Petitioner accepted NHP’s offer and left the accounting firm.
